Liability Limitations and Warranty Disclaimers

1. Service Disclaimers

Waypoint provides arcade game development consulting and strategic services. However, we make no guarantees regarding specific outcomes, market success, or financial results. Our services are provided "as is" without warranties of any kind, either express or implied.

We specifically disclaim any warranties of merchantability, fitness for a particular purpose, non-infringement, or that our services will meet your expectations or achieve specific results. Market dynamics, player preferences, and competitive conditions are inherently unpredictable.

2. Limitation of Liability

To the maximum extent permitted by law, Waypoint's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you to Waypoint in the twelve months preceding the claim.

3. Exclusion of Consequential Damages

Waypoint shall not be liable for any consequential damages arising from the use of or inability to use our services, even if Waypoint has been advised of the possibility of such damages. Waypoint shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government regulations, labor disputes, or failures of third-party service providers.

Our services may involve or reference third-party tools, platforms, or content. We make no warranties regarding the accuracy, reliability, or availability of third-party services and are not responsible for any issues arising from their use.

Client Indemnification Obligations

You agree to indemnify, defend, and hold harmless Waypoint, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services or website
  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of applicable laws or regulations
  • Any false or misleading information you provide
  • Your negligent or willful misconduct
  • Any claims brought by third parties arising from your actions
